ARTICLE 1
Section 1 - The fiscal year of this association
shall be from April 1 through March 31, both dates inclusive.
Section 2 - Annual dues shall be paid
in advance of April 1st of each year. Dues shall be $25.00 per year, $5.00
will be put towards the death benefit.
Section 3 - Yearly dues shall be paid by April 1 of
each year or the member will be declared delinquent and shall not be
entitled to or receive any of the benefits of this association, provided,
however, that if any member of this association in good standing enters
the armed forces of the United States of American during the time of war
he/she shall be carried as a member in good standing with the payment of
dues. Such dues shall be paid from the treasury of the association. Any
member in the armed forces shall be so carried only to the beginning of
the next fiscal year following six months after the cessation of
hostilities.
Section 4 - Any member of this association who becomes delinquent
in his/her dues to this association for a period of one year or more shall
not be reinstated until such time he/she is again employed in such office
which qualifies him/her as eligible for membership in the association.
Past members in good standing are eligible to be reinstated as new member.
Section 5 - Any person who formerly was in law
enforcement, vested in the Law Enforcement Retirement System, and
who is a paid up member shall be entitled to all privileges of the
association and may participate in elections.
Section 6 – Any Law Enforcement Officer permanently
injured in the line of duty who can no longer be employed as a Law
Enforcement Officer be awarded a lifetime SDPOA membership at no charge,
so long as the officer is a current member in good standing with the
SDPOA.
ARTICLE 2
APPLICATION, HONORARY AND SOCIAL MEMBERSHIPS
Section 1- Applications for membership shall be
made in writing to the executive secretary of this association. Such
applications shall contain such information as will definitely establish
the applicant’s eligibility.
Section 2 - It shall be the duty of the executive secretary to
review the application of anyone desiring to become a member of the
association. He/She shall make necessary inquiry as to qualifications and
personal fitness for membership and shall reject any applicant who does
not fit the requirements. The board of directors shall have the power to
reverse any decision of the executive secretary in such cases. The board
of directors shall have the power to revoke the membership of any person
at any time who in found to be eligible.
Section 3 - The title of Honorary Member may be conferred upon any
person by affirmative vote of two thirds of the members present at a
meeting of the annual convention. The title of Honorary Members shall
carry with it none of the obligations or death benefits of the association
but is an acknowledgment by the members of the South Dakota Peace
Officers’ Association. Honorary members shall receive a certificate from
the South Dakota Peace Officers’ Association.
Section 4 - The term “Social Member” shall apply to
surviving spouse of a member in good standing. If they wish to pay the
yearly dues of $15.00, they are entitled to attend all social functions of
the organization and receive the magazine subscription.. They will not
have voting privileges. They nor their benefactors will not receive a
death benefit.
ARTICLE 3
DUTIES OF OFFICERS
Section 1 - The duties of the officers shall be
such as prescribed in “Robert’s Rules of Orders, Revised” and the
Constitution and By-laws of this association.
Section 2 - The executive secretary shall keep an accurate list of
all beneficiaries and all monies paid and payable. He/she shall issue and
sign all checks drawn against funds of the association. He/she shall
furnish each director quarterly a statement of all receipts and
expenditures and balance on hand, and prepare a financial statement for
the annual seminar. He/she shall report at each meeting of the board
of directors such other matters as may be called to his/her attention
pertaining to the association. He/she shall furnish a satisfactory bond to
the amount set by the board of directors, premiums for same to be paid by
the association. It shall be his/her duty to keep a fair and impartial
record of the proceedings of all meetings. The executive secretary shall
furnish a certificate of membership to all members; he/she shall notify
all members who have not paid their annual dues that they are in arrears
and subject to suspension if dues are not paid at once. He/she shall
submit to each annual seminar, in writing, a report of the official acts
during his/her term in office.
Section 3 - (Revised 2007) The records of the executive secretary
shall be audited externally and reviewed internally. The external audit
will be conducted by an independent contractor once every 3 years, or if
called by the membership at any time.
The internal review board will review the books twice
yearly at any given time. The review board will be a three-member board,
with a chairman appointed from the SDPOA Board of Directors. The Board of
Directors, from the general membership, will appoint the remaining members
of the review Board for a three-year staggered term. The Chairman of the
Review Board will monitor the banking activities throughout the fiscal
year.
Section 4 - Directors: The president, or in case of his/her absence
or inability to act, the ranking senior vice president shall act as
chairman. the board of directors shall direct the investment of all
surplus funds of the association and shall select a bank or banks in the
State of South Dakota where all monies collected by the executive
secretary, from any source, for the association shall be deposited.
Section 5 - (Revised 9/98) Board of Directors: They shall have all
owe and authority over the affairs of the association during the interval
between annual seminars except where such power and authority may be
otherwise delegated, except that they may not modify any action taken
during the annual seminar. They shall be limited to the expenditures of
not over $5,000. for any one particular purpose, with exception of
magazine publishing, unless specifically ordered to do so at the annual
seminar other than legislative purposes, which must be appropriated by the
annual seminar.
ARTICLE 4
COMMITTEES
Section 1 - The president shall appoint two members
who, the executive secretary as chairman, shall act as the Credentials
Committee. They shall examine the register of the seminar and determine if
all there registered are members in good standing and entitled to vote or
hold office.
Section 2 - The president shall appoint a Constitution and By-laws
Committee of four members prior to the annual convention. If a member upon
appointment cannot attend the annual convention, he/she will notify the
President so a substitution can be appointed.
Section 3 - A Resolution Committee of four members
shall be appointed by the president prior to the annual convention. If a
member upon appointment cannot attend the annual convention, he/she will
notify the president so a substitution can be appointed.
Section 4 - The board of directors shall constitute the Legislative
committee. It shall be the duty of this committee to supervise and direct
the business of this association which pertains to its legislative
program. The primary duty of this committee shall be to guard the members
the association, individually and in groups, from harmful legislation, and
support beneficial legislation. No effort or monies shall be spent by the
legislative committee for the fostering of any legislation unless ordered
to do so by the directors or by resolution of the members made at any
annual convention.
Section 5 - The president shall appoint convention and program
committee which shall assist with the planing for and conducting the
annual seminar. The chairman of this committee shall be free from the city
in which the next annual seminar is to be held. This committee shall meet
with the president prior to the annual seminar and with him/her draw up
the program for the annual seminar.
Section 6 - The president shall appoint a Pistol Shoot Committee
consisting of three members. One member of this committee shall be
appointed from the host city for the upcoming annual seminar. They shall
assist with the planning and conducting of an annual pistol match held in
conjunction with the seminar.
The committee shall meet with the board of directors prior to the annual
seminar and with this board draw up the program for the annual pistol
match.
The pistol match shall be governed by the rule and regulations that have
been adopted by this association.
Section 7 - The President shall appoint a committee for the purpose
of nomination of 3rd Vice President. All the members wishing to run for
3rd Vice President should give their names to the committee no later than
Monday noon. In the event that less than two members shall run for 3rd
Vice President, the Committee shall seek out a second qualified candidate
to run for 3rd Vice President. This will assure a contest for 3rd Vice
President.
ARTICLES 5
EXPENDITURES
Section 1 - All expenses of the annual seminar
shall be paid from the general fund of the association.
Section 2 - All necessary and reasonable expense shall be paid to
each member of the board of directors for every meeting they are called on
to attend. Such expense shall also be paid to the members of the board of
directors when attending the annual seminar of the association. The board
of directors may authorize the executive secretary to pay expenses of any
person invited to participate in the programs.
Section 3 - The board of directors has the power to pay the expense
of anyone that is called to meet with them or any school held by the
association, unless such an expense is paid by any other division of
government or political subdivision.
Section 4 - This association shall assist in every
way deemed advisable, financial or otherwise, in holding training as so
stated by resolution at the annual seminar. It shall be the duty of the
president and the executive secretary and one member of the board of
directors appointed by the president to attend the meetings of said
schools when held. The time and place to be set by the board of directors
in holding schools. They have the power to transact any business for
this association in regard to said schools.
ARTICLE 6
RESIGNATIONS
Section 1 - In case of the resignation of the
executive secretary, he/she shall present a copy of his/her resignation to
the board of directors at least thirty days prior to the date of his/her
resignation. If the resignation of the executive secretary is received,
the board of directors shall immediately cause an audit of the executive
secretary’s books and if same are found to be correct, they will
immediately become custodian of same until a successor to the executive
secretary is elected or appointed. In case of death of the executive
secretary. the first vice president shall take immediate charge of the
records and funds of the accounts and have audit of same and retain such
custody until the vacancy is filled by appointment as provided herein.
ARTICLE 7
MEETINGS
Section 1 - Any member of this association in good
standing shall have the right to vote or debate on any matter before the
seminar. Any member of this association in good standing shall have the
right to hold office. The Minimum Registration fee for the seminar shall
be $5. No registration fee shall be charged to attend the business
meeting. Purchase of an individual meal ticket shall not constitute
registration for the seminar.
Section 2 - The rules contained in “Roberts Rules of Order,
Revised” shall govern the association in all cases in which they are
applicable and in which they are not inconsistent with the Constitution
and By-laws of the association.
Section 3 - Fifteen members shall constitute a quorum and no
meeting shall be opened or no business shall be transacted with less than
a quorum present.
ARTICLE 8
AMENDMENTS
Section 1 - These By-laws shall not be amended
except by a two-thirds majority vote of the members present at a meeting
of the annual seminar.
